1. About these Terms

These Terms of Use ("Terms") are an agreement between you and NiceMatrix Technologies Inc., 434223 Clear Mountain Dr E, Foothills, AB T1S 6B1, Canada ("NiceMatrix", "we", "us"). NiceMatrix operates niceideas at niceideas.app, including its web pages, public post links and application programming interfaces (together, the "Service").

By using the Service, including viewing, liking or commenting without an account, you agree to these Terms and to our Community Guidelines. Our Privacy Policy explains how we handle personal information. If you do not agree, do not use the Service.

2. Who can use niceideas

2.1 You must be at least 13 years old to use the Service. If the law of your country requires a higher age to consent to the processing of personal information (for example, 14 in mainland China, or up to 16 in some countries of the European Union), you must be at least that age or have the consent of a parent or legal guardian.

2.2 If you are under the age of majority where you live, your parent or legal guardian must review and accept these Terms on your behalf.

2.3 You may not use the Service if we have barred you from it, or if the laws that apply to you prohibit it.

3. Your account

3.1 Accounts on niceideas are NiceMatrix ID accounts. You sign in through NiceMatrix ID; niceideas never sees or stores your password. Your NiceMatrix ID is also subject to the terms and privacy policy of NiceMatrix ID.

3.2 When you first sign in, we create your niceideas profile. Your handle follows your NiceMatrix ID username and is updated each time you sign in. Your display name and avatar are taken from NiceMatrix ID until you change them on niceideas.

3.3 Keep your sign-in details secure. Tell us promptly at [email protected] if you believe someone has used your account without permission. You are responsible for activity under your account, except where it results from our failure.

3.4 You may not sell, transfer or share your account, create accounts by automated means, or use an account to impersonate anyone.

4. Public content and links

4.1 Posts you publish are public. They can appear on your profile, in timelines, on the Discover page and in search results, and anyone with the link can open them, with or without an account. Search engines and other platforms may also show public pages and link previews.

4.2 Comments are public and appear under the post. Visitors without an account may like posts and comment under an optional nickname.

4.3 Do not publish anything you want to keep private. Once something is public, others may copy or save it before you delete it, and we cannot recall such copies.

4.4 For visitors whose connection comes from mainland China, only individual shared post pages and the likes and comments on them are available; other pages are not. This reflects how the Service is currently offered and may change.

5. Your content

5.1 You keep all rights you have in the text, images, audio and other material you post ("your content"). We do not claim ownership of it.

5.2 To run the Service, you grant NiceMatrix a worldwide, non-exclusive, royalty-free licence to host, store, copy, technically adapt (for example, resize images or create link-preview images), display and distribute your content, only as needed to operate, secure and provide the Service in the way you choose when you publish it. This includes letting other people view, like, comment on and share links to your public content. We do not use your content for advertising, and we do not sell it or license it to others for training artificial intelligence models.

5.3 This licence ends when your content is deleted from the Service, except for copies in backups until they expire as described in the Privacy Policy, and except where we must keep content to comply with the law or a valid legal request, to resolve a dispute or to enforce these Terms.

5.4 You confirm that you own your content or have every permission needed to post it and to grant this licence, and that posting it does not violate anyone's rights or any law.

5.5 You can delete your posts at any time: any post can be deleted on its page on niceideas, a post published from an app can also be deleted in that app, and you can write to [email protected]. A deleted post leaves the Service immediately and is permanently removed 30 days later. Where the app you use supports it, you can also delete comments under your own posts.

6. Rules of conduct

You agree not to use the Service to:

  • post content that is illegal, or that sexualises or exploits minors;
  • threaten, harass or bully anyone, or promote hatred or violence against any person or group;
  • infringe copyright, trademarks, privacy or other rights, or publish another person's private information without permission;
  • impersonate a person or organisation, or mislead people about where content comes from;
  • send spam, run scams or phishing, or manipulate likes, comments or follows;
  • upload malware, or interfere with the Service, its security or other users;
  • access the Service by automated means beyond what our public interfaces allow, collect data about other users in bulk, or get around rate limits, bans or anti-abuse checks;
  • break our Community Guidelines or the laws that apply to you or to us.

7. Reports and moderation

7.1 Anyone can report a post or comment with Report. We review reports, and we may also act on content or accounts that have not been reported.

7.2 If content or behaviour breaks these Terms, the Community Guidelines or the law, or puts users or us at risk, we may remove or hide content, limit features such as posting or commenting, block a visitor from interacting, or suspend or close an account. Where reasonable, and unless the law prohibits it or it would create risk, we will tell you what we did and why.

7.3 If you think we made a mistake, write to [email protected] and we will review your request.

7.4 We are not obliged to monitor content, and content posted by users does not reflect our views.

8. Copyright and other rights

8.1 If you believe content on the Service infringes your copyright or other rights, write to [email protected] with: your name and contact details; a description of the work or right concerned; the link to the content; a statement that you believe in good faith that the use is not authorised; and a statement that your information is accurate and that you are the rights holder or authorised to act for them.

8.2 We review valid notices and may remove or disable the content and inform the person who posted it. Where Canada's notice-and-notice regime under the Copyright Act applies, we forward notices as the law requires.

8.3 If your content was removed and you believe this was a mistake, or that you have the right to post it, you may send a counter-notice to the same address explaining why. We may restore the content unless the complainant tells us that they have started legal proceedings.

8.4 We close the accounts of repeat infringers where appropriate.

9. NiceNote and other apps

9.1 You can publish to niceideas from the NiceNote app or from other apps you authorise through NiceMatrix ID. An app can do only what you allow it to (for example, publish posts or upload media), and only for the posts it published. Posts show which app they came from.

9.2 You can revoke an app's access through NiceMatrix ID, or ask us to block it for your account by writing to [email protected]. Revoking access stops future access; it does not remove posts already published, which you can delete yourself.

9.3 Apps are provided by their developers under their own terms and privacy policies. We may block or limit any app that misuses the Service.

9.4 When you publish from NiceNote, only the note you choose to publish is sent to niceideas, through NiceMatrix. Changes you make to the note in NiceNote can update the published post, and you can delete the post in NiceNote or on niceideas.

10. Ending your use

10.1 You may stop using the Service at any time. To delete your account, delete your NiceMatrix ID. When you request deletion, your profile and posts go offline immediately. If you cancel during the cooling-off period, they return at the same links. When deletion is completed, we permanently delete your profile, posts, earlier versions, media, comments, likes and follows, as described in the Privacy Policy.

10.2 We may suspend or end your access if you seriously or repeatedly break these Terms, if the law requires it, or if we stop providing the Service. If we discontinue the Service, we will try to give reasonable notice in advance.

10.3 Sections 5.3, 5.4 and 12 to 16 continue to apply after your use ends.

11. The Service

11.1 The Service is currently free. We may introduce optional paid features in the future; they will be offered under separate terms, and we will never charge you without your agreement.

11.2 We keep improving the Service and may change, add or remove features. We do not guarantee that the Service or any content will always be available, and we may set or change usage limits, such as the number of posts or the size of uploads.

11.3 Content on the Service is created by its users. We do not verify it and are not responsible for it. Links to other websites are provided for convenience, and we are not responsible for those websites.

12. Disclaimer

To the extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement, and without any warranty that the Service will be uninterrupted, secure or error-free. Keep your own copies of content that matters to you. Some jurisdictions do not allow these exclusions, so some of them may not apply to you.

13. Limitation of liability

13.1 To the extent permitted by law, NiceMatrix and its directors, officers, employees and agents are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or opportunity, arising from or related to the Service or these Terms.

13.2 To the extent permitted by law, our total liability for all claims relating to the Service or these Terms is limited to the greater of CAD $100 and the amount you paid us for the Service in the 12 months before the claim.

13.3 Nothing in these Terms limits liability for fraud, gross negligence or wilful misconduct, for death or personal injury caused by negligence, or any other liability that cannot be limited by law, and nothing in these Terms limits your rights as a consumer under mandatory law.

14. Indemnity

To the extent permitted by law, you will indemnify NiceMatrix and its directors, officers, employees and agents against third-party claims, and the related losses and reasonable costs, arising from your content, your breach of these Terms, or your violation of any law or the rights of others. This section does not apply to you as a consumer where the law of your country does not allow it.

15. Governing law and disputes

15.1 These Terms, and any dispute relating to them or to the Service, are governed by the laws of the Province of Alberta and the federal laws of Canada applicable there, without regard to conflict-of-laws rules.

15.2 Before starting proceedings, please contact us at [email protected] so that we can try to resolve the matter informally within 60 days.

15.3 The courts of the Province of Alberta, sitting in Calgary, have exclusive jurisdiction. If you are a consumer, you may also bring proceedings in the courts where you live, and you keep the protection of the mandatory laws of your country of residence.

16. General

16.1 These Terms, the Community Guidelines and the Privacy Policy are the entire agreement between you and us about the Service.

16.2 If any part of these Terms is found unenforceable, the rest remains in effect. If we do not enforce a right, we have not waived it.

16.3 You may not transfer your rights under these Terms. We may transfer ours to an affiliate or to a successor of our business, provided your rights under these Terms are not reduced.

16.4 These Terms are written in English and translated into other languages. If the versions differ, the English version prevails, unless the law of your country requires otherwise.

17. Changes to these Terms

We may update these Terms to reflect changes to the Service or to the law. We will publish the new version with its effective date. For material changes, we will give reasonable notice before they take effect, for example on the Service. If you keep using the Service after the changes take effect, you accept the updated Terms; if you do not agree, you may stop using the Service and delete your account.
